Terms and Conditions

1. Introduction

Welcome to Banza ("Banza," "we," "us," or "our"), a product of Hailstone Software Development Ltd. ("Hailstone"). These Terms and Conditions ("Terms") govern your use of the Banza mobile application and associated services (collectively, the "App"). By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy (together, the "Agreement").

If you do not agree to these Terms, do not use the App.

2. Eligibility

To use Banza, you must be at least 16 years old or the age of legal consent in your jurisdiction, whichever is higher. By using the App, you represent and warrant that:

• You meet the eligibility criteria;
• All information you provide is accurate and truthful;
• You are legally capable of entering into this Agreement.

3. User Responsibilities and Commitments

You agree to:

• Use the App in compliance with all applicable laws and regulations.
• Maintain the confidentiality of your private vault keys and device credentials.
• Not use the App for any unlawful, abusive, or fraudulent activity.
• Only attest and connect data from accounts or sources that you legally control.
• Not attempt to access, manipulate, reverse-engineer, or disrupt any part of the App, infrastructure, or services offered.
• Not use VPNs, proxy servers, or other location-masking technologies to register accounts or access the App, as this interferes with our compliance obligations and reward system integrity across different jurisdictions.

Hailstone and Banza are not responsible for loss or damage resulting from unauthorized access to your account due to your failure to safeguard your credentials or keys.

4. User Data and Vault Ownership

Banza does not collect or own your raw data. Instead, you:

• Retain full ownership of your attested data.
• Maintain exclusive control of your decentralized vault through self-custody key management.
• Are solely responsible for safeguarding your cryptographic credentials (e.g., recovery phrases, keyrings).
• Grant Hailstone and Banza a limited license to use anonymized, non-identifiable, and permissioned derived data for the purpose of improving service delivery and powering your AI assistant ("AI Twin").

All processing of personal data is subject to our Privacy Policy, which forms an integral part of these Terms.

5. Platform Services and Functionality

Banza provides the following services, subject to your active participation and permissions:

• AI Twin that helps deliver personalized insights and productivity tools.
• Data Attestation Tools to verify third-party usage in a privacy-preserving manner.
• Reward Programs that allow you to earn tokenized or fiat-backed benefits based on opt-in behaviors.
• Personalization Engine to generate contextually relevant recommendations and automation.
• Enterprise Interactions where permitted, enabling controlled sharing of verified behavioral insights (never raw data).

We may update, modify, suspend, or discontinue any feature without liability to you, with reasonable notice where possible.

6. Intellectual Property

All content and components of the App (including software, algorithms, branding, and design elements) are owned by Hailstone Software Development Ltd. or its licensors and protected under applicable intellectual property laws.

You may not:

• Copy, reproduce, modify, or distribute any part of the App unless explicitly authorized.
• Use Banza's or Hailstone's name, logo, or trademarks without prior written consent.
• Reverse-engineer, decompile, or attempt to extract the source code or models.

Your user-generated data remains yours. You grant Hailstone and Banza a non-exclusive, royalty-free license to use anonymized or permissioned outputs solely for service enhancement and platform performance.

7. Rewards, Tokens & Monetization

If you choose to participate in Banza's rewards or data monetization programs:

• Participation is entirely opt-in.
• Rewards may be issued in the form of digital tokens, gift cards, or platform-specific credits.
• Hailstone and Banza make no representation regarding the market value or future convertibility of any tokens.
• You are responsible for complying with local tax, regulatory, and reporting requirements related to any rewards or earnings received.

Hailstone and Banza reserve the right to suspend or alter reward mechanics at their discretion with reasonable notice.

8. Third-Party Services

You may interact with or attest data from third-party platforms through Banza. Hailstone and Banza:

• Are not responsible for the terms, accuracy, or availability of third-party services.
• Do not control or endorse any third-party applications.
• Provide cryptographic proof-based attestations; data policies of third parties remain applicable to their services.

You acknowledge that all interactions with third-party platforms are at your own risk and subject to their terms of service.

9. Disclaimers

Banza is provided on an "as is" and "as available" basis. We do not warrant that:

• The App will always function uninterrupted or error-free.
• The App is suitable for every use case or jurisdiction.
• Recommendations or insights generated by AI Twin or other AI agents will be accurate, complete, or appropriate for decision-making without user discretion.

Hailstone and Banza disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Hailstone Software Development Ltd. and its affiliates shall not be liable for:

• Any indirect, incidental, punitive, or consequential damages arising from your use of the App.
• Losses due to unauthorized access resulting from user negligence.
• Any rewards, earnings, or savings unrealized due to platform performance or third-party dependencies.

Our total liability for any claim shall not exceed the amount you paid (if any) for using the App in the 12 months preceding the incident.

11. Termination and Suspension

We reserve the right to suspend or terminate your access to Banza at any time, with or without notice, if:

• You violate these Terms;
• We are required to do so under law;
• Your behavior poses a risk to the platform or other users;
• We detect suspicious activity including but not limited to Sybil attacks, bot activity, VPN usage, location masking, or attempts to circumvent geographic restrictions.

Upon termination, your right to use the App ends immediately, but your self-custodied data remains accessible to you.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ras Al Khaimah, United Arab Emirates, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Ras Al Khaimah, UAE.

13. Modifications

We may modify these Terms from time to time. Material changes will be communicated via in-app notification or email. Continued use of the App after such changes constitutes acceptance of the revised Terms.
